		<description><![CDATA[If you&#8217;re frustrated that you still can&#8217;t use the online verification and reservation system of the Securities and Exchange Commission (SEC), maybe you&#8217;re not alone. It has been weeks that the system is down, which means that the SEC is back to the slower manual mode. Well, I&#8217;m not really that frustrated because we were been able to complete a number of registrations despite the glitch, although we have to explain to clients why the registration takes longer than usual. Besides, I understand that the SEC (rather, its service provider) is doing what it can to restore the system. Here&#8217;s the SEC advisory in case you&#8217;ve missed it: SEC ADVISORY (Beginning 19 June 2008) WE ARE CURRENTLY ENCOUNTERING TECHNICAL PROBLEMS WITH OUR SEC-iREGISTER. 		<description><![CDATA[The last day to avail of tax amnesty is 5 May 2008. Now, before you get excited because you may happen to have failed to file your income tax return by 15 April 2008, this tax amnesty refers to all national internal revenue taxes for the taxable year 2005 and prior years that have remained unpaid as of 31 December 2005. The tax amnesty is granted under Republic Act No. 9480 (referred to as the &#8220;Tax Amnesty Act of 2007&#8220;). The Tax Amnesty Law of 2007 provides that the last day for availing of the benefits of the amnesty shall be six months from the effectivity of its implementing rules and regulations (IRR). The IRR, which is DOF Department Order No. 29-07, was filed with the UP Law Center, Office of the National Administrative Register (UPLC-ONAR) only on 23 October 2007. In other words, it became effective 15 days from October 23, or on 7 November 2007, based on the clarification issued by the Department of Finance (DOF) through Department Order No. 11-08. 		<description><![CDATA[The entrepreneurial movement gained steam, I&#8217;d say, only in the past 3 or so years (or maybe I was too busy with other things that I didn&#8217;t notice it). These days, you hear about entrepreneur groups and movements on entrepreneurship. There&#8217;s a school for entrepreneurs and an entrepreneur caravan. In other words, there&#8217;s an awakened movement towards entrepreneurship. The trend towards branding everything as &#8220;entrepreneur&#8221; is clear from the fact that successful businessmen no longer label themselves as mere &#8220;businessmen&#8221; &#8212; they&#8217;re successful entrepreneurs. Maybe it&#8217;s just a matter of rebranding or maybe it&#8217;s a way to spark interest among the general population to pursue entrepreneurial endeavors. So, what does it take to be an entrepreneur? 		<description><![CDATA[Just recently, the World Economic Forum released its Global Competitiveness Report for 2007-2008. The Philippines is ranked 71 in the Global Competitiveness Index rankings. This is definitely not something to be happy about, as the Philippines is 71 out of 131 countries/economies ranked, and lagging behind its neighbors, including Korea (11), Taiwan (14), Malaysia (21), Thailand (28), India (48), Indonesia (55), Vietnam (68) and Sri Lanka (70). The more interesting aspect of the Report is the portion on The Most Problematic Factors for Doing Business in the Philippines. 		<description><![CDATA[I received an email forwarding an article purportedly written by Rodolfo Noel Lozada, Jr, more commonly known as Jun, in relation to the aborted 329 million dollars national broadband network (NBN) deal with ZTE Corp. of China. You must have read so much about this so there&#8217;s no need to explain its background. The accompanying comment, contained in the same email, has an interesting take on the matter as it relates to Overseas Filipino Workers (OFW): Ok yung concept nina Lozada and Neri about the exhaust valve effect of migration. Rather than getting really pissed off, people redirect their frustrations and energy towards finding ways to leave the country. And, because the income of OFWs are relatively secured from the political uncertainties and economic fluctuations in this country, they don&#8217;t feel themselves as important stakeholders in this government. We&#8217;ve always equated migration with brain drain and transfers, but I have never heard political participation to enter into the discourse. Someone needs to look deeper into this. Let us hear what our OFWs have to say to that observation.]]></description>

		<description><![CDATA[The multiplier effect of the exchange rate potentially creates a lie in which the Overseas Filipino Worker (OFW) slips into a false security that as long as he is earning in foreign currency, it&#8217;s perfectly alright &#8212; he will have a greater spending power in the Philippines. This fallacy, however, is sustained only if the OFW could go on working for years. There should be a shift in mentality &#8212; OFWs must not rely merely on the favorable exchange rate. Understanding the &#8220;technical work of a business&#8221; is totally different from understanding the &#8220;business that does that technical work.&#8221; Doing business involves capitalization, cash flow, marketing and a host of other factors. 		<description><![CDATA[One concern of creditors in filing a case for collection is the possibility of getting nothing in the end because the debtor has no properties to satisfy the judgment award, while spending more money for legal fees. A pyrrhic victory, so to speak. In fact, I often come across debtors dropping the hint of filing, or actually filing, a case for insolvency or bankruptcy just to bring home the (alleged) point that they have nothing more to cough out. It&#8217;s true that once a petition for insolvency is granted, the debtor-insolvent is discharged from his existing debts. The decision to file for insolvency, however, should not be taken lightly. Here are a few reasons why: 1. The alleged insolvent debtor may be subject to criminal prosecution. There are a number of criminal cases that an alleged insolvent debtor may face. For instance, the debtor may be charged with fraudulent insolvency, a criminal offense, if it is shown that he transferred his property to another place beyond the reach of the creditors. Article 314 of the Revised Penal Code (RPC) reads: Fraudulent insolvency.- Any person who shall abscond with his property to the prejudice of his creditors, shall suffer the penalty [...]]]></description>

		<description><![CDATA[I was able to scan the first few pages of the book &#8220;A Smart &#38; Practical Guide for New Entrepreneurs&#8221; (Marlo Sanchez [2004], New Edition), which reflects this banner &#8211; &#8220;#1 Bestseller for Filipino Entrepreneurs&#8221;. I got stuck in pages 14 and 15, containing a discussion on the &#8220;Legal Types of Organizations&#8221;, i.e., Sole Proprietorship, Partnership and Corporation. The book states that in partnerships, &#8220;[i]n case of bankruptcy and only one partner has assets to satisfy the business liabilities, then creditors will attach all personal assets of that one partner.&#8221; There is, however, a limited partnership, wherein the liability of the limited partner does not extend to his personal properties.
